If a dispute cannot be resolved amicably, a minority shareholder may bring a claim for “unfair prejudice” may be brought pursuant to section 994 of the Companies Act 2006.  As the claim suggest it must be established that a fellow shareholder or director has treated the minority shareholder unfairly and, importantly, that the unfair conduct has caused prejudice.
